Cybersecurity giant Palo Alto Networks is buying its Israeli rival CyberArk for about $25 billion in a massive cash-and-stock deal. The move is the biggest yet for Palo Alto. It is part of CEO Nikesh Arora’s plan to create a more comprehensive security provider to tackle rising AI-driven cyber threats.

The deal highlights a major trend of consolidation in the cybersecurity industry, as customers are tired of relying on a patchwork of different firms and want to streamline their security.

By acquiring CyberArk, which specializes in identity security and managing access to sensitive systems, Palo Alto can offer a more complete package to its large corporate clients. This acquisition follows other huge tech takeovers, including Google’s $32 billion purchase of Wiz.

The acquisition comes as cyberattacks, ransomware, and AI-driven threats are on the rise, pushing companies to seek stronger defenses. Palo Alto CEO Nikesh Arora said that “the future of security must be built on the vision that every identity requires the right level of privilege controls.”

The offer values CyberArk at $495 per share, a 29.2% premium over its recent closing price. Following the announcement, Palo Alto’s shares fell 8%. At the same time, CyberArk’s stock also slipped slightly after jumping on rumors of the deal a day earlier.

Analysts believe the deal will help Palo Alto fill a gap in its product lineup and drive future growth. The deal is expected to close in fiscal 2026.
